Affiliate Agreement

About this agreement
This Affiliate Agreement governs your participation in the Netrix Strata affiliate program. By applying to the program you agree to these terms, to our Terms of Service, and to our Privacy Policy. Netrix Strata is operated by Netrix Enterprise LLC, referred to here as Netrix, we, or us.

Enrollment and approval
You apply by submitting the affiliate form. All applications are reviewed, and we may approve or decline any application at our discretion. Your account becomes active only after we approve it. You must provide accurate information and keep it current.

Your referral link
On approval you receive a unique referral link. You earn credit when a visitor uses your link, creates a member account, and becomes a paying member. We use a tracking cookie to attribute referrals for a limited window that we set. Referrals are credited on a last link basis and only when our records confirm a qualifying paying member.

Commissions
You earn a commission equal to a percent of the first payment made by each qualifying member you refer. The base rate is shown in your account, and we may set a different rate for you. Commissions are created as pending once a referred member makes a first payment, and become payable after they are confirmed.

What does not earn a commission
Commissions are not earned on your own subscriptions or accounts you control, on members who do not complete a paid first payment, on trials canceled before billing, or on signups not properly attributed to your link. We do not pay commissions on payments beyond the first payment unless we state otherwise in writing.

Reversals and adjustments
We may withhold, reverse, or adjust commissions for refunds, chargebacks, failed payments, duplicate or fraudulent signups, self referrals, or any violation of this agreement. If a commission was paid and is later reversed, we may offset it against future commissions or request repayment.

Payouts
We pay confirmed commissions on the schedule and by the method we communicate to you. You are responsible for providing accurate payout details and for any taxes on amounts you earn. We may require tax information before issuing payment.

How you may promote
You may promote Netrix Strata honestly and accurately using your own content and channels. You must clearly disclose your affiliate relationship where required by law, including the Federal Trade Commission endorsement guidelines.

Prohibited conduct
You may not bid on our brand names or trademarks in paid search or use them in a misleading way, send spam or unsolicited messages, make false or unauthorized claims about the service, pricing, results, or outcomes, offer unauthorized rebates or incentives, use cookie stuffing, forced clicks, or other deceptive tracking, register members yourself to earn commissions, or promote the service on sites that contain unlawful, hateful, or adult content. You may not represent yourself as an employee or agent of Netrix or make commitments on our behalf.

Trademarks and materials
We grant you a limited, revocable, non exclusive right to use our name and approved marketing materials only to promote the service while you are an active affiliate. All rights remain with Netrix. You may not modify our marks or materials without permission.

Independent contractor
You are an independent contractor. This agreement does not create an employment, partnership, joint venture, or agency relationship, and you have no authority to bind Netrix.

Confidentiality
You will keep confidential any non public information you receive through the program and use it only to participate in the program.

Hold, suspension, and termination
We may place your account on hold, suspend it, or terminate it, and we may end the program, at any time and at our discretion. On termination your right to use your link and our materials ends. Confirmed commissions earned before termination are payable unless they are subject to reversal under this agreement. We may withhold commissions in cases of suspected fraud or violation.

No guarantee
We do not guarantee any level of traffic, conversions, or earnings. Your results depend on your own efforts and on many factors outside our control.

Changes
We may change this agreement, the commission rate, the cookie window, and the program terms at any time. Changes apply going forward. Your continued participation after a change means you accept it.

Disclaimer and limitation of liability
The program is provided as is. To the fullest extent permitted by law, Netrix Enterprise LLC is not liable for any indirect, incidental, or consequential damages arising from the program, and our total liability will not exceed the commissions payable to you in the three months before the claim.

Governing law
This agreement is governed by the laws of the State of Georgia, without regard to its conflict of laws rules, and the exclusive venue for disputes is the state or federal courts located in Georgia.
