Terms of Service

Agreement to these terms By creating an account or using Netrix Strata, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the service. Netrix Strata is operated by Netrix Enterprise LLC, referred to here as Netrix, we, or us.

The service Netrix Strata is a software tool that reviews commercial real estate underwriting and returns a structural assessment, a score, and related analysis based on the figures you provide. The output is informational only. It does not constitute financial, investment, lending, brokerage, legal, tax, or accounting advice, and it is not a commitment to provide financing. You are solely responsible for your own decisions and due diligence.

Eligibility You must be at least eighteen years old and able to form a binding contract to use the service. By using the service you represent that you meet these requirements and that the information you provide is accurate.

Accounts You must provide accurate information when you register and keep your login credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.

Free trial New subscriptions may include a free trial. We collect a payment method at signup but do not charge it during the trial. If you do not cancel before the trial ends, the subscription converts to a paid plan and your payment method is charged the then current price.

Subscriptions, billing, and renewal Paid plans are billed in advance on a recurring basis, monthly or annual as selected, through our third party payment processor. Your subscription renews automatically at the end of each billing period at the then current price until you cancel. You authorize us and our payment processor to charge your payment method for each renewal. Prices and plan features may change, and we will give notice of material changes, with changes taking effect at your next renewal.

Cancellation You may cancel at any time from your account. Cancellation takes effect at the end of the current billing period, and you keep access until then. See our Refund and Cancellation Policy for details.

Acceptable use You agree not to misuse or interfere with the service, attempt to gain unauthorized access to it or to other accounts, reverse engineer, scrape, or copy the software or methodology, resell, sublicense, or redistribute the analysis or output without our written permission, or use the service to violate any law or the rights of others.

Your inputs You retain ownership of the figures and information you enter. You grant us a limited license to process that information to provide the service. You are responsible for ensuring you have the right to submit any information you enter.

Intellectual property The Netrix Strata software, the Deal Architecture methodology, scoring, designs, text, and all related materials are owned by Netrix Enterprise LLC and are protected by law. We grant you a limited, non exclusive, non transferable, revocable right to use the service for your own business purposes while your account is active. No other rights are granted.

Affiliate program If you participate in the Netrix Strata affiliate program, additional terms apply. Affiliate accounts require approval before they go live. Commissions are earned only on qualifying paying members referred through your unique link, are calculated as described at signup, and are payable after they are confirmed. We may adjust commission rates, withhold or reverse commissions for fraud, self referral, refunds, or chargebacks, and suspend, place on hold, or terminate any affiliate account at our discretion.

Third party services The service relies on third parties such as a payment processor and a hosting provider. Your use of those services through Netrix Strata may be subject to their terms. We are not responsible for third party services.

Disclaimer of warranties The service is provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the service will be uninterrupted or error free, or that the analysis is accurate, complete, or suitable for any particular purpose.

Limitation of liability To the fullest extent permitted by law, Netrix Enterprise LLC and its owners, members, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or lost opportunities, arising from your use of or inability to use the service or from any decision made in reliance on it. Our total liability for any claim relating to the service will not exceed the amount you paid us for the service in the twelve months before the claim.

Indemnification You agree to indemnify and hold harmless Netrix Enterprise LLC from any claims, losses, or expenses arising from your use of the service, your inputs, or your violation of these terms or any law.

Termination We may suspend or terminate your access if you violate these terms or if we discontinue the service. On termination your right to use the service ends. Sections that by their nature should survive will survive.

Governing law and disputes These terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. The exclusive venue for any dispute will be the state or federal courts located in Georgia, and you consent to their jurisdiction.

Changes to these terms We may update these terms from time to time. We will post the updated version here and update the date shown below. Continued use of the service after changes means you accept the updated terms.
